These Terms and Conditions (“Terms”) govern all submissions made through the Best of Africa (BOA) Festival website inquiry form (the “Inquiry Form”). [cite: 4]
By submitting an inquiry, you (“Applicant,” “You,” or “Your”) acknowledge that you have read, understood, and agree to be bound by these Terms. [cite: 5] If you do not agree to these Terms, you must not submit an inquiry. [cite: 6]
1. Nature of Inquiry [cite: 7]
Submission of the Inquiry Form constitutes a request for information only. [cite: 8] It does not: [cite: 8]
- Create a contractual relationship; [cite: 9]
- Constitute an application approval; [cite: 10]
- Reserve vendor space, sponsorship rights, performance slots, media credentials, or volunteer positions; [cite: 11]
- Guarantee participation in the Best of Africa Festival (the “Festival”). [cite: 12]
All participation in the Festival is subject to a separate written agreement executed by authorized representatives of both parties. [cite: 13]
2. No Obligation to Respond or Approve [cite: 14]
The Festival reserves the absolute right, in its sole discretion, to: [cite: 15]
- Accept or reject any inquiry; [cite: 16]
- Decline to respond to any submission; [cite: 17]
- Request additional documentation or information; [cite: 18]
- Prioritize inquiries based on event needs, capacity, alignment with mission, or operational considerations. [cite: 19]
Submission of an inquiry does not entitle the Applicant to further correspondence or consideration. [cite: 20]
3. Accuracy and Authority [cite: 21]
By submitting the Inquiry Form, you represent and warrant that: [cite: 22]
- All information provided is accurate, complete, and current; [cite: 23]
- You are legally authorized to act on behalf of the business, organization, or individual referenced in the submission; [cite: 24]
- The materials submitted do not infringe upon the rights of any third party. [cite: 25]
The Festival reserves the right to disregard any submission containing false, misleading, or incomplete information. [cite: 26]
4. Pricing, Availability, and Changes [cite: 27]
Any pricing, sponsorship details, vendor fees, space allocations, or programming information communicated prior to execution of a written agreement: [cite: 28]
- Is provided for informational purposes only; [cite: 29]
- Is non-binding; [cite: 30]
- Is subject to change without notice. [cite: 31]
No pricing, placement, benefit, or participation right is confirmed until a formal written agreement is executed and, where applicable, payment has been received in accordance with agreed terms. [cite: 32]
5. Intellectual Property [cite: 33]
By submitting logos, trademarks, images, marketing materials, business descriptions, or other content (“Submitted Materials”), you: [cite: 34]
- Represent and warrant that you own or have obtained all necessary rights to provide such materials; [cite: 35]
- Grant the Festival a non-exclusive, royalty-free, limited license to review and evaluate such materials for consideration purposes; [cite: 36]
- Acknowledge that public use of Submitted Materials will only occur upon formal confirmation of participation and mutual written agreement. [cite: 37]
The Festival retains all rights, title, and interest in its own intellectual property, including but not limited to its name, logo, branding, programming concepts, and promotional materials. [cite: 38]
6. Confidentiality [cite: 39]
Information submitted through the Inquiry Form will be treated as general business correspondence. [cite: 40] The Festival does not guarantee confidentiality unless a separate written confidentiality agreement has been executed. [cite: 41]
Applicants are advised not to submit proprietary, confidential, or sensitive information through the Inquiry Form. [cite: 42]
7. Data Collection and Use [cite: 43]
By submitting an inquiry, you consent to the collection, storage, and use of your personal and business information for purposes including: [cite: 44]
- Responding to your inquiry; [cite: 45]
- Evaluating participation opportunities; [cite: 46]
- Sending Festival-related updates and communications; [cite: 47]
- Maintaining internal records. [cite: 48]
The Festival will not sell personal information to third parties. [cite: 49] Information may be shared with internal team members or authorized partners solely for event planning and evaluation purposes. [cite: 50] You may request removal from future communications at any time. [cite: 51]
8. Limitation of Liability [cite: 52]
To the fullest extent permitted by law, the Best of Africa Festival, its organizers, directors, officers, employees, volunteers, sponsors, affiliates, and partners shall not be liable for: [cite: 53]
- Any direct, indirect, incidental, consequential, or special damages arising from submission of an inquiry; [cite: 54]
- Technical failures, website errors, or transmission issues; [cite: 55]
- Loss of business opportunity resulting from non-selection or non-response; [cite: 56]
- Reliance on preliminary discussions or informal communications. [cite: 57]
Submission of an inquiry is at your sole risk. [cite: 58]
9. Event Modifications or Cancellation [cite: 59]
The Festival reserves the right to modify, reschedule, relocate, restructure, or cancel the event in whole or in part due to operational needs, safety considerations, force majeure events, government regulations, or circumstances beyond its reasonable control. [cite: 60]
Submission of an inquiry does not entitle the Applicant to compensation or damages arising from such modifications. [cite: 61]
10. Professional Conduct [cite: 62]
All communications must be conducted in a professional and respectful manner. [cite: 63] The Festival reserves the right to discontinue communication with any Applicant engaging in harassment, inappropriate conduct, or misrepresentation. [cite: 64]
11. Governing Law [cite: 65]
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada. [cite: 66] Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario. [cite: 67]
